These Door Sales Terms & Conditions ("Terms") govern the sale of all door products offered by Bella Maria Inc. ("Bella Maria," "we," "our," or "us"), including, where applicable, entry doors, interior doors, patio doors, French doors, prehung doors, slab doors, sidelites, transoms, frames, jambs, thresholds, glass options, hardware preparations, and related components.
These Terms apply together with the applicable quotation, invoice, sales order, order confirmation, and Bella Maria Inc.'s general website Terms & Conditions. If a conflict exists between these Door Sales Terms & Conditions and the general website Terms & Conditions regarding the sale of door products, these Door Sales Terms & Conditions will control.
By requesting a quotation, approving product specifications, placing an order, making a payment, accepting delivery, or picking up products, you acknowledge that you have read, understood, and agree to these Terms.
Quotes & Pricing
All quotations are provided for planning and estimating purposes only.
Unless otherwise stated in writing, quotations remain valid for fourteen (14) calendar days from the date they are issued.
Prices, freight costs, supplier pricing, product availability, lead times, specifications, finishes, hardware options, accessories, and other product details may change without prior notice before Bella Maria accepts an order.
Product photographs, catalogs, brochures, website images, showroom displays, finish samples, and marketing materials are intended to help customers evaluate available products but should not be interpreted as guarantees that the delivered products will exactly match those examples.
Bella Maria Inc. reserves the right to correct pricing errors, typographical mistakes, calculation errors, product descriptions, supplier information, or other inaccuracies before accepting an order.
A quotation does not reserve inventory, production capacity, pricing, or product availability.
Submission of a quotation does not create a binding contract between Bella Maria Inc. and the customer.
Order Approval & Acceptance
A quotation becomes an order only after the customer has:
- Reviewed all product specifications;
- Approved the order details in writing or by electronic communication;
- Accepted the quoted pricing; and
- Paid the required deposit or other payment specified on the quotation or invoice.
Bella Maria Inc. reserves the right to accept or decline any proposed order at its sole discretion.
An order becomes final and binding when Bella Maria Inc. first does any one of the following:
- Issues a written order confirmation;
- Submits the order to the manufacturer or supplier;
- Releases the order for production;
- Orders project-specific materials; or
- Otherwise commits resources specifically for that customer order.
Once an order becomes final and binding, modifications or cancellations may no longer be possible and may be subject to additional charges as described in these Terms.
Electronic approvals, email confirmations, electronic signatures, and other electronic communications may be treated as written approval where permitted by applicable law.
Customer Specifications & Measurements
Customers are responsible for carefully reviewing and approving every aspect of their order before Bella Maria Inc. submits it to the manufacturer or supplier.
Depending on the product selected, customers should verify, when applicable:
- Door style and model;
- Slab or prehung configuration;
- Door dimensions;
- Door thickness;
- Rough opening dimensions;
- Jamb width and jamb depth;
- Swing direction;
- Handing;
- Threshold type;
- Sill configuration;
- Glass style and glass options;
- Panel configuration;
- Hardware preparation;
- Lock preparation;
- Hinge locations;
- Finish selections;
- Paint or stain selections;
- Wood species;
- Veneer selections;
- Fire-rating requirements;
- Building code requirements;
- HOA or architectural requirements; and
- Any additional project-specific specifications.
Customers should review quotations, drawings, order confirmations, and product specifications carefully before approving production.
Unless Bella Maria Inc. specifically agrees in writing to perform field measurements, Bella Maria relies entirely upon measurements and specifications supplied by the customer or the customer's builder, contractor, architect, designer, installer, or other authorized representative.
Bella Maria Inc. does not independently verify field measurements.
Customers remain solely responsible for confirming that all measurements, rough openings, framing conditions, clearances, hardware requirements, and installation conditions are correct before production begins.
Bella Maria Inc. shall not be responsible for delays, additional costs, replacement products, installation issues, or project modifications resulting from:
- Incorrect measurements;
- Incorrect rough openings;
- Incorrect specifications;
- Framing errors;
- Incorrect handing or swing direction;
- Incorrect hardware selections;
- Customer-approved specification errors; or
- Information supplied incorrectly by the customer or any third party acting on the customer's behalf.
If Bella Maria identifies a potential discrepancy before production begins, we may contact the customer for clarification. However, Bella Maria is not obligated to independently verify measurements or redesign the customer's project.
Deposits, Payment, Taxes & Fees
Unless otherwise stated in writing, a deposit equal to fifty percent (50%) of the purchase price is required before Bella Maria Inc. places an order with a manufacturer or supplier.
Certain custom, made-to-order, modified, imported, or special-order products may require a larger deposit or full payment before production begins. Any such requirement will be identified on the applicable quotation, invoice, or sales order.
The remaining balance must be paid in full before delivery or customer pickup unless Bella Maria Inc. has agreed to different payment terms in writing.
Customers are responsible for paying all amounts associated with their order, including, where applicable:
- Product costs;
- Applicable sales taxes;
- Freight charges;
- Delivery charges;
- Storage fees;
- Handling charges;
- Special-order charges;
- Supplier-imposed fees; and
- Any additional charges disclosed on the quotation, invoice, sales order, or other written agreement.
Payments made by credit card are subject to a 3.5% credit card processing fee, which will be disclosed before payment is processed.
Customers may choose another accepted payment method, where available, to avoid this processing fee.
Credit card processing fees are generally non-refundable once payment has been processed, except where required by applicable law.
Past-due balances may be subject to finance charges where permitted by applicable law and disclosed in the applicable invoice or written agreement.
Bella Maria Inc. reserves the right to suspend production, delay delivery, withhold products, or cancel further performance until all outstanding balances have been paid in full.
Failure to make timely payment may also result in additional storage charges, delivery delays, or other reasonable costs incurred by Bella Maria Inc. as a result of the delayed payment.
Order Changes & Cancellations
Bella Maria Inc. understands that project requirements may change after an order has been placed. While we will make reasonable efforts to accommodate requested changes, modifications are subject to manufacturer approval, supplier policies, product availability, and the current stage of production.
Customers should contact Bella Maria Inc. as soon as possible if they wish to modify an existing order.
Changes may include, but are not limited to:
- Product model or style;
- Door dimensions;
- Slab or prehung configuration;
- Handing or swing direction;
- Glass options;
- Hardware preparation;
- Finish selections;
- Threshold or jamb options; or
- Other product specifications.
Approved changes may result in:
- Additional charges;
- Revised pricing;
- Extended lead times;
- New production schedules;
- Supplier change fees; or
- Cancellation of the original order and creation of a new order.
Bella Maria Inc. cannot guarantee that requested changes can be accommodated once an order has been submitted to the manufacturer or supplier.
Order Cancellations
Customers may request cancellation within twenty-four (24) hours after placing an order.
If the order has not yet been confirmed with the supplier, released for production, fabricated, special ordered, shipped, or otherwise committed, the customer may be eligible for a full refund of the deposit.
After the initial twenty-four (24) hour period, Bella Maria Inc. will review the status of the order before determining whether cancellation remains possible.
If cancellation is approved after supplier processing has begun, Bella Maria Inc. may deduct any non-recoverable costs incurred, including:
- Supplier charges;
- Restocking fees;
- Freight charges;
- Administrative costs;
- Customization costs;
- Fabrication charges; and
- Other reasonable expenses directly related to the order.
Special-order, custom, made-to-order, modified, fabricated, finished, or supplier-processed products are generally non-cancelable once production or supplier processing has begun, except where required by applicable law.
Product Availability & Supplier Changes
Bella Maria Inc. works with multiple manufacturers and suppliers to provide a wide selection of door products.
Because product availability depends on third-party manufacturers, Bella Maria cannot guarantee that every quoted product will remain available until production begins.
Manufacturers may, without prior notice:
- Discontinue products;
- Modify product specifications;
- Revise dimensions;
- Change construction methods;
- Update hardware options;
- Replace components;
- Modify finishes;
- Revise available colors;
- Change glass options; or
- Introduce new product versions.
Bella Maria Inc. is not responsible for manufacturer-initiated changes that occur after a quotation has been issued.
If a quoted product becomes unavailable before fulfillment, Bella Maria may, at its discretion:
- Offer a comparable replacement product;
- Revise the quotation;
- Request customer approval for an alternative product; or
- Cancel the affected portion of the order if no reasonable alternative is available.
Any refund associated with a discontinued product may be reduced by non-recoverable supplier, freight, customization, or administrative costs already incurred, to the extent permitted by applicable law.
Estimated Lead Times
Any production or delivery schedule provided by Bella Maria Inc. is an estimate only.
Estimated lead times begin after Bella Maria Inc. has accepted the order and received any required deposit or payment.
Lead times may be affected by numerous factors beyond Bella Maria's reasonable control, including:
- Manufacturer production schedules;
- Material shortages;
- Supplier backorders;
- Freight carrier delays;
- Port congestion;
- Customs processing;
- Severe weather;
- Labor shortages;
- Public emergencies;
- Government actions; or
- Other supply chain disruptions.
Bella Maria Inc. will make reasonable efforts to keep customers informed of significant delays whenever practical.
Customers should not schedule installers, subcontractors, project inspections, or other construction activities solely in reliance upon estimated lead times.
Bella Maria Inc. shall not be responsible for:
- Construction delays;
- Contractor rescheduling costs;
- Project downtime;
- Temporary protection costs;
- Lost business opportunities;
- Additional labor expenses; or
- Other indirect costs resulting from estimated or revised lead times.
Delivery, Pickup & Risk of Loss
Delivery dates are estimates only and are subject to scheduling availability.
Customers are responsible for ensuring that the delivery location is safe, accessible, and capable of receiving the ordered products.
An authorized person should be available to inspect and accept the delivery whenever reasonably possible.
Unless otherwise agreed in writing, risk of loss transfers to the customer when:
- Products are delivered to the agreed delivery location;
- Products are picked up by the customer;
- Products are picked up by the customer's contractor, carrier, or authorized representative; or
- Products are otherwise made available for customer pickup.
Bella Maria Inc. is not responsible for damage occurring after delivery has been completed or after products have been released to the customer or the customer's representative.
If delivery cannot be completed because of inaccessible job sites, customer scheduling conflicts, unsafe conditions, or other circumstances beyond Bella Maria's control, additional delivery, transportation, handling, storage, or redelivery charges may apply.
Customers who choose to delay delivery after products become available may also be responsible for applicable storage charges.
Inspection Before Installation
Customers must inspect all products immediately upon delivery or pickup.
The inspection should include verification of:
- Product quantities;
- Door dimensions;
- Model numbers;
- Finish selections;
- Hardware preparation;
- Glass options;
- Product condition;
- Shipping damage;
- Manufacturing defects that are reasonably visible; and
- Missing components.
Any visible damage, shortages, incorrect products, or other discrepancies should be:
- Noted on the delivery receipt or pickup documentation;
- Photographed whenever practical; and
- Reported to Bella Maria Inc. in writing within forty-eight (48) hours after delivery or pickup.
If concealed damage is discovered that could not reasonably have been identified during delivery, customers should notify Bella Maria Inc. as soon as reasonably possible after discovery.
Do not install, modify, finish, cut, drill, paint, stain, or otherwise alter any product before inspection has been completed and any reported issue has been reviewed by Bella Maria Inc.
Installation constitutes acceptance of the product and confirms that the customer has determined the product to be suitable for installation.
Bella Maria Inc. is not responsible for labor costs, removal costs, replacement costs, reinstallation expenses, refinishing costs, or other project expenses resulting from products installed before inspection or from visible conditions that should reasonably have been identified prior to installation.
Installation & Site Conditions
Unless Bella Maria Inc. expressly agrees in writing to provide installation services, Bella Maria supplies products only.
The customer, builder, contractor, architect, designer, or installer is solely responsible for ensuring that all products are suitable for the intended application and are installed in accordance with the manufacturer's installation instructions, applicable building codes, industry standards, and project requirements.
Customers and installers are responsible for:
- Confirming all product specifications before installation;
- Verifying final measurements and rough openings;
- Confirming handing and swing direction;
- Verifying hardware compatibility;
- Ensuring proper framing and structural support;
- Installing proper flashing, weatherproofing, drainage, and sealing systems;
- Following all manufacturer installation instructions;
- Protecting products from damage during construction; and
- Completing any required finishing, painting, staining, sealing, or maintenance.
Bella Maria Inc. is not responsible for problems resulting from:
- Improper installation;
- Improper storage;
- Improper handling;
- Improper finishing;
- Failure to follow manufacturer instructions;
- Incorrect framing;
- Incorrect rough openings;
- Structural movement;
- Building settlement;
- Moisture intrusion;
- Excessive humidity;
- Water exposure;
- Lack of climate control;
- Construction debris;
- Misuse or abuse; or
- Normal wear and tear.
Customers should not install any product that appears damaged, incomplete, or inconsistent with the approved order specifications.
If a potential issue is identified before installation, Bella Maria Inc. should be contacted immediately to allow a reasonable opportunity to review the reported concern.
Natural Materials & Finish Variation
Many door products contain natural materials or handcrafted finishes that are expected to vary in appearance.
Wood species naturally differ in:
- Grain pattern;
- Texture;
- Color;
- Density;
- Mineral streaks;
- Knots;
- Character markings; and
- Stain absorption.
Likewise, painted, stained, veneered, or factory-finished products may display minor differences in sheen, color, texture, or overall appearance.
Samples, showroom displays, catalogs, website photographs, and printed marketing materials are provided as visual references only and should not be interpreted as exact representations of the delivered product.
Natural variations are an inherent characteristic of many products and are not considered manufacturing defects.
Customers should review all samples with the understanding that reasonable variations between sample materials and finished products are normal and expected.
Returns
Door products are generally ordered specifically for each customer's project.
Because many products are custom manufactured, specially ordered, modified, fabricated, prehung, machined, finished, or otherwise prepared for a specific installation, they cannot typically be returned to the manufacturer.
Unless otherwise required by applicable law or expressly approved by Bella Maria Inc. in writing before the return is initiated, Bella Maria does not accept returns, exchanges, or refunds for:
- Custom products;
- Special-order products;
- Made-to-order products;
- Prehung doors;
- Modified products;
- Finished products;
- Machined products;
- Installed products; or
- Products showing signs of use or alteration.
If Bella Maria Inc. authorizes the return of an eligible standard-stock product, the product must:
- Be unused;
- Remain uninstalled;
- Be in original condition;
- Include all original packaging and components; and
- Be returned within the time period approved by Bella Maria Inc.
Approved returns may be subject to:
- Supplier approval;
- Product inspection;
- Freight charges;
- Restocking fees;
- Handling charges; and
- Other reasonable costs associated with processing the return.
Unauthorized returns may be refused or returned to the customer at the customer's expense.
Manufacturer Warranty & Warranty Claims
Bella Maria Inc. is a supplier and retailer of door products and is not the manufacturer of the products it sells.
Unless Bella Maria Inc. expressly provides a separate written warranty, all warranty coverage is provided solely by the applicable manufacturer.
Manufacturer warranty terms, coverage, exclusions, limitations, and claim procedures vary by manufacturer and product line.
Customers are encouraged to review the applicable manufacturer's warranty documentation before purchasing.
Submitting a Warranty Claim
If a customer believes a product may qualify for warranty consideration, the customer should notify Bella Maria Inc. as soon as reasonably possible after discovering the issue.
Warranty claim requests should include:
- Customer name;
- Order or invoice number;
- Product identification;
- A detailed description of the issue;
- Photographs clearly showing the condition being reported;
- Date of delivery;
- Date of installation, if applicable; and
- Any additional information reasonably requested by Bella Maria Inc. or the manufacturer.
Bella Maria Inc. will make reasonable efforts to assist customers by forwarding warranty claims to the manufacturer and facilitating communication throughout the review process.
However, Bella Maria Inc. does not control the manufacturer's warranty investigation or approval process and cannot guarantee the outcome of any warranty claim.
The manufacturer retains sole authority to determine whether warranty coverage applies and what remedy, if any, will be provided.
Warranty Exclusions
Unless otherwise provided by the applicable manufacturer, warranty coverage generally does not include:
- Labor costs;
- Installation expenses;
- Removal costs;
- Reinstallation costs;
- Shipping expenses;
- Freight charges;
- Expedited transportation;
- Temporary protection costs;
- Contractor charges;
- Job-site delays;
- Travel expenses;
- Improper installation;
- Improper finishing;
- Improper storage;
- Improper maintenance;
- Incorrect field measurements;
- Water intrusion;
- Excessive humidity;
- Environmental exposure;
- Misuse or abuse;
- Unauthorized modifications;
- Cosmetic damage occurring after delivery;
- Normal wear and tear; or
- Natural material variation.
Nothing contained in these Terms is intended to limit any consumer rights that cannot legally be excluded or limited under applicable law.
Warranty remedies are limited to those offered by the applicable manufacturer unless Bella Maria Inc. expressly agrees otherwise in writing.
Limitation of Liability
To the maximum extent permitted by applicable law, Bella Maria Inc.'s total liability arising out of or relating to the purchase, delivery, warranty, installation recommendations, or use of any door product shall not exceed the amount actually paid by the customer for the specific product giving rise to the claim.
Bella Maria Inc. shall not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages, including, but not limited to:
- Loss of profits;
- Loss of business opportunities;
- Loss of use;
- Construction delays;
- Project delays;
- Contractor rescheduling costs;
- Temporary security or weather protection expenses;
- Additional labor costs;
- Storage costs;
- Financing expenses;
- Alternative accommodation expenses; or
- Any other indirect project-related costs.
These limitations apply regardless of the legal theory asserted, including contract, negligence, warranty, strict liability, or otherwise, to the maximum extent permitted by applicable law.
Nothing contained in these Terms is intended to exclude or limit any rights that cannot legally be waived under applicable law.
Force Majeure
Bella Maria Inc. shall not be responsible for delays, interruptions, or failures to perform its obligations when caused by events beyond its reasonable control.
Such events may include, but are not limited to:
- Manufacturer production delays;
- Supplier shortages;
- Material shortages;
- Freight carrier delays;
- Port congestion;
- Customs delays;
- Severe weather;
- Natural disasters;
- Floods;
- Fires;
- Labor shortages;
- Strikes;
- Government actions;
- Public health emergencies;
- Utility outages;
- Transportation disruptions;
- Supply chain interruptions; or
- Other events beyond Bella Maria Inc.'s reasonable control.
During such events, Bella Maria Inc. may reasonably extend production schedules, delivery dates, or other performance obligations without incurring liability.
Where product availability becomes limited, Bella Maria Inc. reserves the right to allocate available inventory or delivery schedules in a commercially reasonable manner.
Electronic Communications
Bella Maria Inc. may communicate with customers by email or other electronic means regarding quotations, approvals, invoices, order confirmations, delivery scheduling, warranty claims, and other matters relating to an order.
Customers agree that electronic communications may satisfy any requirement for written communication where permitted by applicable law.
Electronic approvals, electronic signatures, email confirmations, and electronic records may be relied upon by Bella Maria Inc. as evidence of customer authorization and approval.
Customers are responsible for providing accurate contact information and for promptly notifying Bella Maria Inc. if their contact information changes.
Entire Agreement
These Door Sales Terms & Conditions, together with the applicable quotation, invoice, sales order, order confirmation, Bella Maria Inc.'s general Terms & Conditions, Privacy Policy, Refund & Return Policy, and any other written agreements expressly referenced by Bella Maria Inc., constitute the complete agreement between Bella Maria Inc. and the customer regarding the sale of door products.
If a conflict exists between these Door Sales Terms & Conditions and Bella Maria Inc.'s general Refund & Return Policy regarding door products, these Door Sales Terms & Conditions shall govern.
No verbal statements, representations, estimates, or promises made by employees, representatives, contractors, dealers, or sales personnel shall modify these Terms unless Bella Maria Inc. expressly agrees to such modification in writing.
Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
Any unenforceable provision shall be interpreted, to the greatest extent permitted by law, in a manner that most closely reflects the original intent of the provision.
No Waiver
Bella Maria Inc.'s failure to enforce any provision of these Terms on one or more occasions shall not constitute a waiver of that provision or of any other rights available to Bella Maria Inc.
Any waiver must be made expressly in writing and signed by an authorized representative of Bella Maria Inc.
Governing Law & Venue
These Terms shall be governed by and interpreted in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms, the purchase of door products, or any transaction with Bella Maria Inc. shall be brought exclusively in a state or federal court located within the State of Georgia, unless applicable law requires otherwise.
Customers agree to submit to the jurisdiction of such courts for the resolution of any dispute arising from these Terms.
Changes to These Terms
Bella Maria Inc. reserves the right to modify or update these Door Sales Terms & Conditions at any time.
Any revisions will become effective upon publication on bella-maria.com unless a different effective date is expressly stated.
Orders already accepted by Bella Maria Inc. will generally remain subject to the version of these Terms that was in effect on the date the order became final and binding, unless otherwise required by applicable law.
